Terms and Conditions
The Company, the Client and the Applicant agree to be bound by these Terms in all circumstances where the Company agrees to provide Services to the Applicant to assist the Applicant in seeking work placement with the Client.
In these Terms of Business the following definitions apply:
”LRS” means Language Recruitment Services Limited whose registered office is at Greener House 66 – 68 Haymarket, London SWI1Y 4RF. Company Registration Number 2096167.
”The Client” means the company, person or corporate body to whom the Applicant is introduced.
”The Applicant” means the person introduced by LRS to the Client for an Engagement including any members of LRS’s own staff.
“Services” means the search and selection placement services inclusive of publishing online advertising material for the Client and/or supplying copies of
CVs and Candidate Information to the Client and any other services identified to be provided to the Client by the Company.
”The Engagement” means the engagement, employment or use of the Applicant by the Client whether under a contract of service or for services or under an agency,
license, franchise, or partnership agreement.
”Introduction” means an interview conducted by the Client of an Applicant in person or by telephone, following the Client’s instruction to LRS to search for
an Applicant, or the passing to the Client of a curriculum vitae or other information which identifies the Applicant and which leads to an Engagement of that Applicant by the Client.
Summary Terms between LRS and the Client (Full version available upon Request)
1. THE CONTRACT
1.1 These Terms of Business are between Language Recruitment Services and the Client, and are deemed to be accepted by the Client by virtue of an introduction to, or Engagement of, an Applicant.
1.2 Unless otherwise agreed in writing by a permanent member of staff at LRS, these Terms of Business shall prevail over any other Terms of Business or Conditions put forward by the Client.
1.3. No variation or alteration of these Terms of Business shall be valid unless approved in writing by a member of staff at LRS.
2. NOTIFICATION AND FEES
2.1 The Client agrees to notify LRS immediately of any offer of an Engagement which it makes to the Applicant and, once accepted, to provide full details of remuneration package and to pay LRS’s fee for the introduction of the applicant
within fourteen days of the date of invoice. No fee is incurred by the Client until the Applicant commences employment with the Client and an invoice is issued.
2.2 LRS reserves the right to charge interest on invoiced amounts unpaid from the due date to the date of actual payment at a rate of 4% above base rate.
2.3 The fee payable to LRS by the Client for an Introduction resulting in an Engagement is calculated in accordance with an agreed Fee Structure as detailed in our full terms of business. Copy available upon request.
3.1 Introductions of Applicants are confidential. The disclosure by the Client to a third party of any details regarding an Applicant introduced by LRS, which
results in an Engagement with that third party within 6 months of the Introduction, renders the Client liable to payment of LRS’s fee, as set out in clause 3.3 of LRS full Terms & Conditions with no entitlement to any refund.
3.2 An introduction fee calculated in accordance with 3.3 of LRS full Terms & Conditions will be charged in relation to any Applicant engaged as a consequence
of, or resulting from, an introduction by or through LRS, whether direct or indirect, within 6 months from the date of LRS’s introduction.
3.3 In the event that any employee of LRS with whom the Client has had personal dealings accepts an Engagement with the Client within 3 months of leaving LRS’s service, the Client shall be liable to pay an introduction fee to LRS in accordance
with clause 3.3 of LRS full Terms & Conditions.
4.1 LRS endeavours to ensure the suitability of any Applicant introduced to the Client. Notwithstanding this, the Client shall satisfy itself as to the suitability of the Applicant and shall take up references provided by the Applicant and/or LRS before
engaging such Applicant. The Client shall be responsible for obtaining work and other permits if required, for the arrangement of medical examinations and/or investigations into the medical history of any Applicant, and satisfying any medical and other requirements or qualifications required
by law of the country in which the Applicant is engaged to work.
5.1 LRS shall not be liable under any circumstances for any loss, expense, damage, delay, costs or compensation (whether direct, indirect or consequential) which
may be suffered or incurred by the Client arising from, or in any way connected with, LRS seeking an Applicant for the Client or from the Introduction to, or Engagement of, any Applicant by the Client or from the failure of LRS to introduce any Applicant. For the avoidance of
doubt, LRS does not exclude liability for death or personal injury arising from its own negligence.
6.1 These Terms are governed by the law of England and Wales and are subject to the exclusive jurisdiction of the Courts of England and Wales.
Terms between the Applicant and LRS
1. THE CONTRACT
1.1 These Terms are between LRS and the Applicant, and govern the obligations of both parties under any contract for the provision of the Services.
1.2 These Terms shall take immediate effect in substitution of all previous terms relating to the contents hereof, whether written, oral or implied between LRS
and the Applicant.
1.3 These Terms are deemed to be accepted by the Applicant upon application for a position or registration of the Applicant with LRS for the purpose of LRS providing Services.
1.4 No variation or alteration to these Terms shall be valid unless expressly agreed and confirmed in writing by a Director of LRS.
2.1 LRS shall keep confidential any personal details contained within CVs or other Applicant information received from the Applicant in accordance with the wishes of Applicants.
2.2 By registering as an Applicant with LRS you agree that we may review your work experience details, skill sets and qualifications and for LRS to retain and use
the details you have provided in order to place you in what LRS believes to be a suitable employment position
3.1 The Applicant agrees to take all reasonable efforts to ensure the accuracy of any information given verbally, in writing or stated on a curriculum vitae/résumé
and will indemnify and keep LRS indemnified against any costs, claims, damages, expenses and liabilities incurred by LRS, whether direct or indirect (including but not limited to legal or other professional fees
and loss of profit), arising out of any claim settlement or proceeding brought by a third party as a result of the provision of the Services using the Applicant information provided.
4.1 These Terms and Conditions shall be governed and construed in all respects in accordance with the laws of England and Wales.
